By accessing or using ZeroEmbed's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

ZeroEmbed provides:

3. User Obligations

You agree to:

• Provide accurate and complete information
• Use our Services in compliance with all applicable laws
• Not use our Services for any illegal or unauthorized purpose
• Maintain the confidentiality of any account credentials
• Notify us immediately of any unauthorized use
• Respect intellectual property rights

4. Payment Terms

Pricing and Fees

Service fees are determined on a project basis and will be outlined in a separate service agreement or proposal. All prices are quoted in USD or INR as specified.

Payment Schedule

• Payment terms will be specified in your service agreement
• Standard payment terms are 50% upfront and 50% upon completion
• Late payments may incur additional fees
• We accept bank transfers, UPI, and international wire transfers

Refunds

Refund requests are evaluated on a case-by-case basis. Generally, deposits and fees for completed work are non-refundable.

5. Intellectual Property

Our Intellectual Property

All content, trademarks, and materials on our website and in our Services remain the property of ZeroEmbed unless otherwise specified.

Work Product

Upon full payment, you will own the deliverables created specifically for your project. We retain the right to use general methodologies, techniques, and knowledge gained.

Client Materials

You grant us a license to use materials you provide solely for the purpose of delivering Services to you.

6. Confidentiality

We will maintain the confidentiality of any proprietary or sensitive information shared during our engagement. We may require a separate Non-Disclosure Agreement (NDA) for certain projects.

7. Project Timelines and Deliverables

• Project timelines are estimates and subject to change based on project scope
• Delays caused by client feedback or resource unavailability may extend timelines
• We will provide regular updates on project progress
• Deliverables will be defined in the project agreement

8. Warranties and Disclaimers

Limited Warranty

We warrant that our Services will be performed in a professional manner consistent with industry standards.

Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEROEMBED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

10. Termination

By You

You may terminate Services with written notice. You remain responsible for payment for work completed up to the termination date.

By Us

We may terminate Services if you breach these Terms or fail to make payments when due.

11. Indemnification

You agree to indemnify and hold ZeroEmbed harmless from any claims, damages, or expenses arising from your use of our Services or violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes will be resolved through:

• Good faith negotiation between parties
• Mediation if negotiation fails
• Arbitration in Kanpur, India
• Courts of Kanpur, India shall have exclusive jurisdiction

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or website notice. Continued use of Services constitutes acceptance of modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
